p4020 code Fails emission test

What are your opinions on the cat mesh (bottom view)
Cat or O2 sensor replacement?
1998 1.6 L 236,000 km

Passes now!

Despite the fact the cat didn't appear too bad I found a new aftermarket that had never been used for $200. Add a new Bosch o2 sensor, distributor cap, and plugs. It passed emission test no problem.
