Have you thought about getting a header? Or possibly just getting a manifold in better shape off a junk car? Whats wrong with the manifold?

Converting to an EX type system is OK to do, and you have a lot more choices in parts that way. So if you're replacing everything, go with:
Stock EX manifold and front pipe, or aftermarket header
Stock EX cat
Your choice of cat-back system

The second O2 sensor wires will need to be extended to hook up the sensor after the cat. The full EX conversion will pass a smog check and should be street legal even in California.

It should bolt up exactly the same. The exhaust ports on the engine are the same whether it is VTEC or not.
