Is there any oil in it? Sounds like what typically happens when you run out of oil. In that case, it is toast.

if its a big knocking sound, then its very possible you have a blown rod or a horribley blown rod bearing.
what's the mileage on the car? how low or high is the oil?
its still turning over and has compression though?
my blown motor involved a huge knock, then everytime i put it in gear the car locked up like the motor was seized. turned out i threw a rod through the engine wall.
could be a bent valve if it was ticking first though... its really hard to tell. prolly would have the engine pulled apart and looked at and/or rebuilt if its worth it to you, depending on the mileage and HOW BAD THE TICKING AND KNOCKING WAS.
if its huge knocks where something is obviously spinning out of place or hitting something it shouldn't, then its a good possibility. these motors are zero clearance engines, which means if a valve is out of place or if the rod is loose and knocking, the piston will clap the valve and most likely bend it. it doesnt sound good from the way you're describing but i would get some second opinions, obviously, because i cannot hear the engine or the symptoms you're describing. just try to describe it better, you're speed, gear you were in, oil level, mileage, ect. a submodel would help too... ex, hx, cx, dx, lx??
i'm not trying to scare you, but more info is nessasary to try to help.
